Job Title: Senior Legal Counsel & Director of Global Compliance
The Senior Legal Counsel will report to the Senior Vice-President & General Counsel and will provide legal counsel on a variety of domestic and international business and regulatory matters, from mining, milling, and regulatory and environmental laws to contract management, commercial law and M&A. The Senior Legal Counsel will also have front line responsibility for overseeing and managing the Company's corporate compliance program ensuring the Company adheres to legal and ethical standards by developing and implementing policies, monitoring activities, conducting training, overseeing risk assessments, and advising leadership on potential compliance issues. The ideal candidate will have the ability, over time, to learn and understand the Company’s business and regulatory details, objectives, and constraints and to be able to effectively weigh business, technical, legal, and regulatory considerations in a manner that allows the Company to achieve its objectives and operate in compliance with all applicable laws and regulations at the highest safety, environmental, social and governance standards. This requires a confident professional with exceptional communication skills, and an ability to understand and evaluate all relevant aspects of opportunities as they arise.
Responsibilities:
In concert with or at the direction of the SVP & General Counsel:
- Providing legal advice and support to senior management.
- Managing corporate compliance program.
- Implementing, enforcing and refining company policies and procedures to ensure compliance with legal and regulatory requirements.
- Updating policies and training materials and overseeing company-wide compliance training program.
- Negotiating, drafting and overseeing a wide variety of contracts and legal documents, including vendor contracts, offtake agreements facility and permit applications.
- Providing legal advice on business and regulatory matters, including mining; facility licensing and permitting; regulatory and environmental laws; project development; government relations matters; and legal challenges.
- Assisting with the drafting and review of public disclosure documents and public company filings.
- Supporting strategic legal initiatives and planning; and
- Fostering a collaborative environment, encouraging entrepreneurial spirit and promoting best practices.
Skills and Qualifications:
- Law degree from an accredited institution.
- Qualified to practice law in at least one U.S. state.
- At least 12 years of relevant legal experience, including international exposure and prior experience in-house or with a major law firm.
- Extensive experience in the areas of compliance, including anti-corruption and anti-bribery laws, risk management, commercial law, contracting and M&A.
- Experience dealing with US federal and state regulatory agencies.
- Familiarity with international law and transactions.
- Degree in business, economics, engineering, mathematics or the sciences considered an asset but not required.
- Excellent communication and presentation skills.
- Proven negotiation skills and decisive decision-making abilities.
- Optimistic and confident with an ability to evaluate opportunities rather than avoid risks.
- Familiarity with international law and transactions.
- Experience working with public operating companies and exhibiting entrepreneurial spirit; and
- Proven ability to collaborate effectively with all levels of management and staff.
